AGREEMENT TO OUR LEGAL TERMS

We are Nikoloz Ugrekhelidze ("Company," "we," "us," "our"), a company registered in Georgia at 51.2 Ilia Chavchavadze ave., Tbilisi, Georgia 0179. We operate the mobile application ForToday (the "App"), as well as any other related products and services that relate to these legal terms (the "Legal Terms") (collectively, the "Services").

ForToday is a minimalist to-do list mobile application focused exclusively on the present day. All task data is stored locally on your device, and the app does not maintain any cloud storage or user accounts.

These Legal Terms constitute a legally binding agreement between you and Nikoloz Ugrekhelidze. By accessing the Services, you agree to be bound by these terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

1. OUR SERVICES

The information provided is not intended for distribution to or use by any person in any jurisdiction where such distribution would be contrary to law. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, text, and graphics (collectively, the "Content"), and the trademarks and logos ("Marks").

Your Use: We grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use. No part of the Services may be copied or exploited for commercial purposes without our express prior written permission.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have legal capacity; (2) you are at least 13 years of age; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal purpose; and (5) your use will not violate any applicable law.

You may not use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

5. USER GENERATED CONTRIBUTIONS

The Services do not typically offer users the ability to post public content. However, if you provide us with "Contributions" (suggestions, feedback, etc.), you warrant that your contributions do not infringe on third-party rights and are not illegal or offensive.

6. CONTRIBUTION LICENSE

You retain ownership of your contributions, but you agree that we can use and share any feedback you provide for any purpose without compensation to you.

7. MOBILE APPLICATION LICENSE

Use License: We grant you a limited right to install and use the App on electronic devices owned or controlled by you. You shall not decompile, reverse engineer, or use the App to create a competitive product. App Distributors: You acknowledge that these terms are between you and us, not the App Distributor (Apple/Google), though they are third-party beneficiaries with the right to enforce these terms.

8. SERVICES MANAGEMENT

We reserve the right to monitor the Services for violations and take appropriate legal action against anyone who violates the law or these Legal Terms.

9. PRIVACY POLICY

We care about data privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised the Services are hosted in the United States.

10. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access or terminate your use of the Services at any time, without notice, for any reason (including breach of terms).

11. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change or remove contents of the Services at any time without notice. We will not be liable for any downtime or discontinuance of the Services.

12. GOVERNING LAW

These Legal Terms shall be governed by the laws of Georgia. Nikoloz Ugrekhelidze and yourself irrevocably consent that the courts of Georgia shall have exclusive jurisdiction.

13. DISPUTE RESOLUTION

Informal Negotiations: Parties agree to attempt to negotiate any dispute informally for at least thirty (30) days. Binding Arbitration: Any dispute shall be finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber. The seat of arbitration shall be Tbilisi, Georgia. The language shall be English.

14. CORRECTIONS

There may be information on the Services that contains typographical errors or inaccuracies. We reserve the right to correct these at any time without prior notice.

15. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

16. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO $100.00 USD.

17. INDEMNIFICATION

You agree to defend and indemnify us from any loss or claim arising out of your use of the Services or breach of these Legal Terms.

18. USER DATA

We maintain certain data you transmit for managing performance. You are solely responsible for all data relating to any activity you undertake using the Services.

19. ELECTRONIC COMMUNICATIONS

Visiting the Services, sending emails, and completing forms constitute electronic communications. You consent to receive communications from us electronically.

20. CALIFORNIA USERS

If a complaint is not resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834.

21. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right does not operate as a waiver. If any part of these terms is deemed unlawful, it shall not affect the validity of the remaining provisions.
